Expert (Teacher) Agreement

This Agreement is between SolveNow ("we," "us," "the Platform") and you ("Expert," "Teacher," "you"), governing your participation as an independent subject-matter expert offering tutoring sessions through SolveNow. By completing registration, KYC verification, and being approved to teach on SolveNow, you agree to the terms below.
1. Nature of the Relationship
- You are an independent contractor, not an employee, agent, partner, or representative of SolveNow.
- You are free to determine your own availability, accept or decline session requests, and set your own per-minute rate (subject to Platform minimums/maximums, if any).
- Nothing in this Agreement creates an employment relationship, and you are not entitled to any employee benefits from SolveNow.
- You are solely responsible for your own income tax filings, GST registration (if applicable to your turnover), and other statutory obligations arising from your earnings on the Platform.
2. Revenue Share & Earnings
For each completed session, you earn 64.6% of the base session fee (before GST). SolveNow retains the remaining 35.4% as its platform fee, which covers SolveNow's operating costs and applicable GST liability on its share.
- This revenue share applies to both live (per-minute) sessions and scheduled booked sessions.
- SolveNow may revise this revenue share with reasonable prior notice to registered Experts (currently intended to be at least 30 days' notice, except where a change is required to comply with law).
- Earnings are calculated based on the Platform's session and billing records, which serve as the authoritative record for payout purposes.
3. Tax Deductions (TDS)
Where applicable under the Income Tax Act, 1961 (including, as relevant, Sections 194J and/or 194-O, depending on the nature of the payment and your cumulative earnings through the Platform), SolveNow will deduct tax at source (TDS) from your earnings at the rate and threshold prescribed by law.
- The applicable threshold and rate depend on factors such as your cumulative earnings through SolveNow in a financial year, and may vary between Experts.
- SolveNow will notify affected Experts before any TDS deduction begins, and will provide relevant tax documentation (e.g., Form 16A) to support your own tax filings.
- You are responsible for reporting your SolveNow earnings in your own income tax returns, regardless of whether or when TDS is deducted by SolveNow.
- If you believe a lower or nil deduction applies to you (for example, under a valid declaration or certificate recognized by law), you may furnish the relevant documentation to SolveNow for consideration.
4. Payouts
- Payouts are processed on a periodic basis (currently weekly), subject to your completing banking and KYC verification (PAN, Aadhaar, bank account details, and a cancelled cheque).
- SolveNow is not responsible for payout delays caused by incomplete or inaccurate banking details provided by you.
- You agree to promptly notify SolveNow of any change to your bank account or contact details.
5. KYC & Verification
- You agree to provide accurate identity documents (PAN, Aadhaar, educational qualification proof) and complete a live demo session evaluation before being approved to teach.
- SolveNow reserves the right to suspend or terminate your account if any information provided is found to be false, or if you fail to maintain valid verification documents.
6. Conduct, Safety & Session Recording
- You agree to comply with SolveNow's Safety & Professional Conduct Policy at all times, including the monthly safety declaration required by the Platform.
- You must not engage in any conduct that endangers the safety of a Student, particularly minor Students, including any romantic, sexual, or otherwise inappropriate communication.
- All live sessions are automatically recorded once both parties join, for safety monitoring, dispute resolution, and quality assurance purposes, as described in SolveNow's Privacy Policy. By conducting sessions on the Platform, you consent to this recording.
- You must not attempt to arrange payment or communication with a Student outside the Platform to circumvent SolveNow's billing or safety systems. Doing so is grounds for immediate suspension.
7. Confidentiality
You agree to keep confidential any personal information of Students (including minors) that you become aware of through the Platform, and to use it solely for the purpose of conducting tutoring sessions.
8. Term & Termination
- This Agreement remains in effect for as long as you maintain an active Expert account on SolveNow.
- Either party may terminate this relationship at any time. SolveNow may suspend or terminate your account immediately for violation of this Agreement, the Safety & Professional Conduct Policy, or applicable law.
- Earnings for completed sessions prior to termination will be paid out in accordance with Section 4, subject to any pending verification or dispute review.
9. Limitation of Liability
SolveNow's liability to you under this Agreement shall not exceed the total unpaid earnings owed to you at the time a claim arises. SolveNow is not liable for indirect or consequential damages.
10. Governing Law & Jurisdiction
This Agreement is governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.
11. Changes to This Agreement
SolveNow may update this Agreement from time to time, particularly regarding tax treatment once finalized with our advisors. Continued participation as an Expert after such changes constitutes acceptance of the revised terms.
